Please read these Terms of Service carefully before utilizing RFP Guard AI. This agreement establishes the terms and conditions under which Orient Solutions provides software services to your organization.

1. Acceptance of Terms

By creating an account, accessing, or subscribing to RFP Guard AI ('the Platform'), you agree to be legally bound by these Terms of Service on behalf of your corporate entity. If you do not possess legal authority to bind your company, or if you do not agree with any part of these terms, you must not use the Platform.

2. Nature of Service & Legal Disclaimer

IMPORTANT: Software Analysis Tool, Not Formal Legal Counsel

RFP Guard AI is an automated technological tool designed to assist procurement specialists, estimators, bid managers, and legal reviewers in auditing tender packages. While our algorithms cross-reference clauses against relevant procurement statutes, RFP Guard AI does NOT provide formal legal advice, legal representation, or financial guarantees. Your organization retains ultimate professional responsibility for all bid submissions and contract executions.

3. Accounts & Authorized Use

Access to the Platform requires corporate registration. You agree to provide accurate, up-to-date business information during registration. Company administrators are responsible for managing internal team credentials, role permissions, and revoking access for departing personnel.

4. Pricing, Subscriptions & Invoicing

  • Free Tender Evaluation: Every newly registered company receives analysis of their first tender free of charge, with access to critical issue detection and applicable laws.
  • Monthly and Annual Plans: Subscription plans provide recurring monthly quotas of tender analyses. Subscriptions are billed in advance on either a monthly or discounted annual cadence.
  • Pay-Per-Tender Packs: Companies may purchase single or multi-credit tender packs without a recurring subscription. Purchased credits do not expire as long as your account remains in good standing.
  • Payment & Invoicing: All monetary transactions are processed securely via Stripe. Invoices, VAT breakdowns, and payment receipts are automatically accessible in your company's Billing portal.

5. Cancellation & Termination

You may cancel your recurring subscription at any time directly through the Stripe Customer Portal accessible within your settings. Cancellation takes effect at the conclusion of your current paid billing period, during which you retain full access to your plan allowance. Refunds are evaluated in accordance with applicable statutory consumer and commercial protections.

6. Intellectual Property Rights

  • Your Proprietary Data: You retain complete and exclusive ownership, copyright, and trade secret rights in all tender dossiers, addenda, pricing models, and confidential data uploaded to the Platform.
  • Platform Intellectual Property: Orient Solutions retains all worldwide rights, title, and interest in and to the RFP Guard AI platform, including its software architecture, user interface, database schemas, proprietary rule engines, and documentation.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Orient Solutions, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost bids, or procurement disputes arising out of your use or inability to use the Platform.
